This article approaches the problem of liability of statutory organs of capital companies, mainly business agents of limited companies and executive boards of joint-stock companies. The main objective of the contribution is to show the many pitfalls of persons acting on behalf of the companies, not only in business innovation projects. Problems arise in cases when these responsible agents neglect to point out legal questions. The article describes civil as well as criminal impact on individual members of the statutory organs in cases of company property damage or third party damage (creditors) and the need for statutory organs to accept liability in such cases.
